GENERAL TERMS AND CONDITIONS
1. Definitions
- "Company": Chateau Naveau BV, located at Lange Beeldekensstraat 272, 2060 Antwerp, Belgium. With VAT Number BE0786.684.054.
- "Customer": the natural or legal person who enters into an agreement with the Company for the purchase of services.
- "Services": the training courses, advice, consultancy projects, graphic designs (of, but not limited to presentations) and events offered by the Company.
2. Applicability
- These general terms and conditions apply to all offers, quotations and agreements between the Company and the Customer.
- The Customer expressly waives its own standard terms and conditions, even if drafted after these general terms and conditions of sale. To be valid, any deviation must be expressly agreed in advance in writing.
3. Offers and quotations.
- All offers and quotations of the Company are non-binding and valid for the period specified in the quotation.
- The customer acknowledges that quotations drawn up by the Company that are based on an agreed hourly rate of x euros per hour during the term of a project do not serve as an indication of the total price of the project, unless expressly agreed otherwise. If only one hour of consultancy is stated in the quotation, this implies the agreed hourly rate of x euros per hour during the term of the project.
- The use of promotional codes for services is allowed only if the customer is eligible for that code. For example, there are codes that are associated with a particular membership tier, awarded to specific individuals (cfr. a guest list) or for a particular category of people (e.g., people over 65, job seekers, students, family members of a customer, etc.). If a purchase is made using a promotional code where the customer was not eligible to use that code, the purchase may be refused or the discounted amount may still be charged extra after inquiring with the customer.
4. Performance of services
- The Company shall perform the agreed services to the best of its knowledge and ability.
- The Customer is responsible for providing all necessary information and materials for the performance of the services in a timely manner.
- The Company undertakes to do its best to deliver the services in a timely manner in accordance with the agreed deadlines. However, none of its obligations can be considered an obligation of result. Under no circumstances can The Company be obliged by the customer to act as a third party in the context of a claim for damages brought against the customer by an end user.
5. Payment
- Payment shall be made within 14 days of the invoice date, unless otherwise agreed or stated otherwise in the offer or on the invoice.
- If payment is not made on time, the Customer shall be in default by operation of law and the Company shall be entitled to charge statutory interest and collection costs.
- The Company is entitled to suspend any provision of services without prior notice in the event of late payment.
- Certain countries apply withholding taxes on the amount of invoices in accordance with their internal legislation. Any withholding tax will be paid by the customer to the tax authorities. Under no circumstances can Chateau Naveau be involved in charges related to a country's legislation. The amount of the invoice is therefore due to Chateau Naveau in its entirety and does not include costs related to the legislation of the country in which the customer is located.
6. Liability
- The Company shall not be liable for any damages arising out of or in connection with the performance of the services, unless there is intent or gross negligence on the part of the Company.
7. Intellectual Property.
- All intellectual property rights relating to the materials and services provided by the Company shall remain the property of the Company.
8. Complaints and claims.
- In case of dissatisfaction with the service the customer must inform the company in writing to our official address ar via email to info@chateaunaveau.com .
- To be admissible, Chateau Naveau must be notified of any claim within 8 days of the delivery of the goods or provision of the services by registered letter to its registered office.
9. Applicable law
- These general terms and conditions and all agreements between the Company and the Customer are governed by Belgian law.
